Brinks Home Referral Program Terms and Conditions

1. Binding Agreement. By participating in this referral program (the “Referral Program”), you agree to be fully and unconditionally bound by these terms and conditions (the “Agreement”) and you agree to accept the determinations of BH Security, LLC dba Brinks Home (“Brinks Home”) as final and binding in all respects. If you do not agree to the terms and conditions contained within this Agreement in their entirety, you are not authorized to participate in the Referral Program. The Referral Program is void where prohibited by applicable law.
2. Referral Program. The Referral Program enables current Brinks Home customers (each, a “Referrer”) to provide referral links and/or referral codes to prospective customers of Brinks Home (each, a “Referee”). By clicking on a referral link and/or using a referral code, Referees agree to the terms and conditions of this Agreement. Referees must utilize the unique referral link or code to ensure eligibility for Rewards for either or both parties, as applicable. Brinks Home reserves the right to deactivate any referral links and/or referral codes at any time, without notice, for any reason.
3. Requirements for Valid Referrals. In order to earn a referral reward (“Reward”) all of the following criteria must be met:
   1. Referrer must (i) be a current customer of Brinks Home located within the United States, in good standing at the time that a Referee uses the Referrer’s referral link and/or referral code; (ii) not be an employee, officer, director, or manager of Brinks Home; (iii) not be otherwise prohibited from participating in the Referral Program by any applicable law or contractual agreement with Brinks Home; and (iv) have a current valid email address on file with Brinks Home at the time any Reward is earned.
   2. Referee must (i) use a valid referral link and/or referral code at the time of sale; (ii) must reside in the United States, (iii) not be a current customer of Brinks Home; (ivii) not be former customers of Brinks Home; and (iv) successfully complete the then-current Brinks Home customer sale process including signing a minimum 36-month monitoring contract with Brinks Home that is not cancelled. Brinks Home reserves the right to enter into any agreements with Referees on terms and conditions acceptable to Brinks Home, or not to enter into any agreements at all. Brinks Home shall determine, in its sole discretion, whether the Referee is eligible for a Reward and reserves the right to reject any Referee for any reason.
4. Referral Reward. Provided all requirements for valid referrals are met and this Referral Program is still active, both the Referrer and Referee will receive a referral reward via email approximately thirty (30) days after the Referee successfully completes the purchase (including signing a monitoring contract) in the form of a $300 electronic gift card. Referrer/Referee, as applicable, must follow all redemption and activation steps outlined in the email. Gift card is subject to the terms and conditions of the third-party issuer. The gift card cannot be transferred, redeemed for cash or cash equivalents, or substituted. Brinks Home will not replace any lost or stolen gifts cards or gift cards sent to inactive or incorrect email addresses.
5. Sharing of Referral Links and/or Referral Codes. Referrers are permitted to share their referral links and/or codes with friends and family (e.g., via email, personal social media accounts, etc.). However, posting referral codes on public forums, including but not limited to Reddit, may result in non-fulfillment of any Rewards. Referrer represents and warrants that they have the consent of the Referee(s) to send the referral links and/or referral codes to such Referee. Bulk distribution via email or text message of a referral link and/or referral code to persons not personally known to Referrer or otherwise sharing referral links and/or referral codes in any manner that may constitute or appear to constitute unsolicited communications or “spam” is expressly prohibited.
6. Taxes. Rewards are exclusive of tax. Referrers and Referees may be required to complete and/or provide certain information in order to receive any Reward including, but not limited to, documents necessary for tax purposes. The value of the Reward may be reported for tax purposes as required by applicable law. Referrer/Referee, as applicable, is solely responsible for reporting and paying any and all applicable federal, state and/or local taxes, fees, surcharges, and expenses attributable to any Reward, whether or not specifically provided for in this Agreement.
7. Release. By participating in the Referral Program, you waive any and all claims of liability against Brinks Home, its employees and agents, for any personal injury or loss which may occur from the conduct of or participation in the Referral Program. You further agree that (i) Brinks Home shall not be responsible or liable for, and is hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Referral Program or any related activity, or from your acceptance, receipt, possession and/or use or misuse of any Reward, and (ii) Brinks Home has not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to the Reward, including, without limitation, to such Reward’s quality or fitness for a particular purpose. You agrees to indemnify and hold Brinks Home harmless from any and all losses, damages, rights, claims, and actions of any kind arising in connection with or as a result of participating in the Referral Program or acceptance or use of any Reward.
8. Modification/Termination/Cancellation.
   1. Brinks Home reserves the right to inactive or cancel any unique referral link and/or referral code if the corresponding Referrer is no longer a current customer of Brinks Home in good standing. Brinks Home further reserves the right to inactive or cancel any unique referral link and/or referral code if, in Brinks Home’s sole discretion, the corresponding Referrer has used such referral link and/or referral code in violation of this Agreement.
   2. Brinks Home reserves the right to suspend, terminate, or modify the Referral Program at any time without notice. This right includes making changes to any and all requirements and rewards. In addition, Brinks Home reserves the right to update, review, or amend this Agreement at any time, and any such changes will become effective immediately upon posting the terms to Referral Terms. You are responsible for regularly reviewing this Agreement to stay informed of any changes. Continued participation in the Referral Program will be deemed acceptance of the updated terms and conditions of this Agreement. In the event of termination or cancellation of the Referral Program, any pending Rewards may be forfeited at Brinks Home’s sole discretion.
9. Status. Referrer is not an agent or employee of Brinks Home nor is Referrer authorized or permitted to make any representations or warranties on behalf of Brinks Home.
10. Miscellaneous. The Terms of Use apply to your participation in the Referral Program including, without limitation, the following provisions: Governing Law and Jurisdiction; and Arbitration.
11. Trademark Usage. The trademarks, logos, service marks and trade names under which Brinks Home markets (the “Marks”) shall remain the exclusive property of Brinks Home. Referrer agrees not to use the Marks in any way that may be determined objectionable by Brinks Home or confusing to any third parties regarding the nature of the relationship between Brinks Home and Referrer.
12. Privacy. To participate in the Program, you must provide personal information about yourself; otherwise, Brinks Home is not able to provide you with any Rewards to which you may become entitled.
